Company Law & Secretarial
Incorporation and the continuing ROC obligations that follow, for companies, LLPs and their directors.
Incorporation is the easy part; the obligations that follow are what catch companies out. We set up private limited companies, LLPs and OPCs with a structure that suits how the business will actually be owned and funded, then keep the ROC position current — annual filings, statutory registers, board and general meeting records, charge creation and satisfaction, share allotments and transfers, director appointment and KYC. Where a company has already drifted out of compliance, we deal with the backlog, the conversion, or the strike-off.
We act for companies from incorporation onwards, for LLPs and OPCs, and for directors personally where obligations attach to them rather than to the entity. Founders come to us when choosing a structure; established companies come when a filing backlog, a charge that was never satisfied, or a share transfer that was never recorded surfaces during due diligence or a loan application. Restoring a struck-off company is possible more often than people assume, but the window is not indefinite.
